Intellectual Property & Confidentiality

Client Materials

The Client retains ownership of materials supplied to us. The Client grants Trionyx a limited license to access, reproduce, modify, and use those materials solely as reasonably necessary to provide services, maintain project records, comply with law, and enforce agreements.

The Client represents that it has all rights and permissions needed for our use of supplied materials. The Client is responsible for claims arising from unauthorized, infringing, misleading, or unlawful Client materials.

Final Deliverables

Unless a project-specific agreement states otherwise, ownership of original final deliverables created specifically for the Client transfers to the Client after full payment of all amounts due for those deliverables. The transfer does not include Trionyx background materials, tools, methods, reusable components, templates, drafts, rejected concepts, internal files, software, fonts, or third-party materials.

Background Materials and License

Trionyx retains ownership of pre-existing and reusable materials, know-how, methods, systems, templates, and general skills used in providing services. To the extent a retained Trionyx component is embedded in a fully paid final deliverable, the Client receives a non-exclusive, worldwide, perpetual license to use that component only as part of the delivered work for the Client’s lawful business purposes.

Third-Party Materials

Stock content, fonts, plugins, themes, software, platform components, and other third-party materials remain subject to their respective licenses. The Client may be required to purchase or maintain its own license. We do not transfer rights that a third party has not authorized us to transfer.

Drafts and Unpaid Work

Drafts, previews, concepts, and unpaid deliverables may not be published, sold, distributed, or used commercially unless we provide written permission. Watermarks or access restrictions may be used for unpaid previews.

Portfolio Use

We will not identify confidential Client information in a public portfolio without permission. Unless the Client objects in writing before publication, we may request permission to display publicly released, non-confidential final work. No portfolio use is authorized solely by this policy when a separate confidentiality agreement prohibits it.

Confidential Information

Each party may receive non-public information that is identified as confidential or that a reasonable person would understand to be confidential. The receiving party will use reasonable care, use the information only for the relationship, and disclose it only to persons who need it and are subject to appropriate obligations.

Confidential information does not include information that was lawfully known without restriction, becomes public without breach, is received lawfully from another source without a duty, or is independently developed without use of the confidential information. A party may disclose information when legally required after giving notice where permitted.

Feedback

If the Client voluntarily provides general ideas or feedback about our services, we may use that feedback without restriction or compensation, provided we do not disclose the Client’s confidential information.

Survival

Payment, ownership, license, confidentiality, limitation-of-liability, and other provisions that by their nature should continue will survive project completion or termination.
